Maya — Terms of Service &
Recruitment Agreement

This Terms of Service agreement is a legally binding contract between Meshly Technologies Pvt Ltd (operating under the brand name “Maya”) and you (the “Client” or “Employer”). By using the Maya platform to source, vet, or interact with candidates, you agree to be bound by these terms.
1. The Service
Maya is an AI-driven recruitment platform operated by Meshly Technologies Pvt Ltd that identifies, vets, and introduces candidates (“Candidates”) to the Client. An “Introduction” occurs when Maya provides the Client with a Candidate’s contact information or facilitates a connection via email, the Platform, or a messaging service such as WhatsApp.
2. The Success Fee
2.1 The Fee
If a Candidate introduced by Maya is hired by the Client (or any affiliate or subsidiary) within twelve (12) months of the date of Introduction, the Client agrees to pay Meshly Technologies Pvt Ltd a Success Fee.
2.2 Calculation
The Success Fee is calculated as a flat 3.5% of the Candidate’s Annual Fixed Gross Compensation (AFGC) — defined as the fixed annual salary component, excluding discretionary bonuses, ESOPs, variables, or any non-fixed components.
2.3 Every 4th Hire Free
For every four (4) Successful Hires completed by a Client through Maya within a rolling twelve (12) month period, the fee for the 4th hire is waived entirely. This benefit resets after each qualifying 4th hire. Meshly Technologies reserves the right to modify or withdraw this benefit with 30 days prior written notice.
2.4 Scope
The Success Fee applies regardless of the specific role for which the Candidate was originally introduced, provided the hire occurs within the 12-month window from the date of Introduction.
3. Verification & Attribution
3.1 Proof of Source
The timestamped email introduction generated by Maya is the definitive Proof of Source for Meshly Technologies Pvt Ltd. This record establishes ownership of the introduction and is binding in any dispute.
3.2 The 7-Day Notification Window
If a Candidate introduced by Maya is already present in the Client’s internal database or Applicant Tracking System (ATS), the Client must notify the Maya team within seven (7) calendar days of the introduction. If the Client fails to notify Maya within this window, the introduction is deemed Owned by Maya and the 3.5% Success Fee will be applicable upon hiring.
3.3 Definition of a Duplicate (6-Month Rule)
A Candidate shall only be considered a Duplicate if the Client has had active contact or a recorded entry for that Candidate in their system within the last six (6) months prior to Maya’s introduction. Records older than six months are treated as stale, and Maya’s introduction is considered a Fresh Lead — the Success Fee remains applicable.
3.4 Active Interview Exemption
If a Candidate is a valid Duplicate (per Section 3.3) and the Client is already in an active, documented interview process with that Candidate at the time of Maya’s introduction, the Client may proceed independently without obligation to Meshly Technologies Pvt Ltd — provided they notify Maya within the 7-day window specified in Section 3.2.
4. Invoicing & Payment
4.1 Invoicing
Meshly Technologies Pvt Ltd will issue an invoice on the Candidate’s confirmed first day of employment (the “Joining Date”).
4.2 Payment Terms
All invoices are payable within fifteen (15) days of the invoice date (Net 15). Payment must be made via bank transfer to the account details provided on the invoice.
4.3 Taxes
All fees are exclusive of Goods and Services Tax (GST) at the prevailing rate (currently 18%) and any other applicable government levies. GST will be added to the invoice and is payable by the Client.
5. Refund Guarantee
5.1 The 90-Day Refund Rule
If a Candidate hired through Maya leaves the Client’s employment — whether voluntarily or for performance-related reasons — within the first ninety (90) calendar days of their Joining Date, Meshly Technologies Pvt Ltd will refund 100% of the Success Fee paid for that placement.
5.2 Conditions for Refund
The refund is applicable only if the Candidate’s exit falls under one of the following qualifying reasons:
- The Candidate resigned voluntarily within 90 days
- The Candidate was let go due to performance issues or not meeting role expectations within 90 days
The refund will not apply if the exit was caused by the Client’s own actions, specifically:
- The role was eliminated or the team was restructured after the Candidate joined
- The Candidate was offered different compensation, responsibilities, or conditions than what was agreed at the time of offer
- The Client initiated a layoff or workforce reduction within the 90-day window
- The Client breached any term of the employment offer extended to the Candidate
5.3 Refund Process
Upon verification of the above conditions, Meshly Technologies Pvt Ltd will process the refund within thirty (30) days of receiving the departure notification. The refund will be credited to the same bank account from which payment was received.
6. Non-Circumvention
If the Client refers a Maya-introduced Candidate to a third party — including a partner company, group entity, or different department — who subsequently hires the Candidate, the original Client remains liable to Meshly Technologies Pvt Ltd for the full 3.5% Success Fee.
7. Limitation of Liability
While Meshly Technologies Pvt Ltd uses AI and human assistance via the Maya platform to screen and vet candidates, the Client remains solely responsible for conducting final background checks, reference checks, and verification of qualifications before extending an employment offer. Meshly Technologies Pvt Ltd is not liable for the post-hire performance, conduct, or suitability of any Candidate. The Company’s maximum aggregate liability to any Client shall not exceed the total Success Fees paid by that Client to Meshly Technologies in the six (6) months preceding the claim.
8. Governing Law & Jurisdiction
This agreement is governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana. Before initiating formal proceedings, both parties agree to attempt resolution through good faith negotiations for a period of thirty (30) days from written notice of the dispute.
9. Acceptance
